公司党委会工作暂行规定

　　第一章 总 则

　　第一条 为进一步完善国有企业领导体制，在公司法人治理结构中充分发挥党组织的政治核心作用，根据《中国共产党章程》、《中华人民共和国公司法》和《广东省深化国有企业人事制度改革实施方案》（粤办发[2001]9号），以及《广东省省管国有资产经营公司党委会工作暂行规定》（粤组〔2002〕59号）制定本规定。

　　第二条 本规定适用于公司所属分公司、厂、处、机关各基层党支部。

　　第二章 地位、作用和职责

　　第三条 党委在公司中处于政治核心地位，发挥政治领导作用，保证、监督党和国家的路线、方针、政策在公司的贯彻执行。

　　第四条

　　党委履行以下职责：

　　（一）围绕企业改革和发展，加强科学管理，推进技术创新和制度创新，提高经济效益，实现国有资产保值增值，开展党建工作；

　　（二）坚持党管干部原则，负责领导班子自身建设和党员干部队伍建设；

　　（三）参与重大问题决策，对生产经营和人事管理方面的重要事项提出合理化建议；

　　（四）充分发挥党委的政治领导作用，全心全意依靠员工，支持董事会、监事会、经理班子依法行使职权，充分发挥党员领导骨干在企业重大决策和生产经营工作中的作用；

　　（五）坚持党要管党，从严治党，切实加强党组织自身建设，搞好党员的教育和管理，做好发展新党员工作，发挥基层党组织的战斗堡垒作用和党员的先锋模范作用，不断提高党组织的战斗力和凝聚力；

　　（六）领导工会、共青团等群众组织及职工代表大会，支持他们按照各自的章程，独立自主地开展工作，协调各类组织之间的关系，调动各方面的积极性；

　　（七）领导思想政治工作和精神文明建设，努力建设一支适应现代企业制度要求的有理想、有道德、有文化、有纪律的员工队伍；

　　（八）完成上级党组织交办的各项工作。

　　第三章 工作目标和工作制度

　　第五条 党委要推行党建工作责任制。党委必须贯彻“三个代表”要求，根据企业发展战略和经营目标，确定党建工作的目标和规划，形成公司党务的工作与经营管理工作目标一致，相互促进，共同发展的机制。

　　第六条 党委的工作目标：

　　（一）建设一个坚决贯彻执行党的路线、方针、政策，善经营，会管理，团结协作，廉洁公正，开拓进取，职工群众拥护的领导班子。

　　（二）建设一支能够在企业改革、发展中经得起困难和风险的考验，在两个文明建设中发挥先锋模范作用的党员队伍；

　　（三）建设一支能适应市场竞争需要有理想、有道德、有文化、有纪律的员工队伍；

　　（四）建立一个适应企业改革和发展要求，与生产经营紧密结合，保证公司党委发挥作用的工作机制；

　　（五）建立一套加强党员教育管理，及时解决自身存在的矛盾和问题，不断增强凝聚力和战斗力的工作制度。

　　第七条 党委必须坚持民主集中制，建立健全科学的领导体制和工作机制。党委必须建立健全以下各项制度：

　　（一）党委会议制度。按照“集体领导、民主集中、个别酝酿、会议决定”的原则，定期或根据企业的实际情况不定期召开党委会。党委会应对党建工作、生产经营、人事管理等重大问题决策事项进行研究，对有关问题作出决议或提出合理化建议。

　　（二）党委中心组学习制度。中心组理论学习至少每季度举行一次，或根据上级党组织要求和工作需要适时召开。

　　（四）党委领导班子成员及基层党支部民主生活会制度。每年召开一次，也可以根据上级党组织要求或工作需要召开。

　　（五）党员教育轮训制度。利用上级党校、干部学校或公司培训阵地及各种形式，每季度对党员进行一次党课教育，每年对党员进行一次轮训。

　　（六）民主评议党员制度。每年进行一次民主评议党员活动，表彰优秀党员，妥善处置不合格党员。

　　（七）“创先争优”制度。党委要结合企业改革、发展和生产经营需要，坚持在党员中开展“创先争优”百分制竞赛活动，把党员目标管理、党员责任区、党员联系群众等活动结合起来，充分发挥党员在各个岗位上的先锋模范作用。

　　第四章 参与重大问题决策的内容和程序

　　第七条 参与企业重大问题决策，是党章赋予党委的重要职责，是党委发挥政治核心领导作用的重要途径。

　　党委参与重大问题决策，是指按《公司法》规定必须提交董事会和总经理办公会议讨论决定的重大事项和涉及职工切身利益问题。主要是指：

　　（一）发展战略规划、经营方针、年度经营计划、重大投资方案；

　　（二）财务预决算、资产重组、资本营运、利润分配等方案，行业（产品）结构、资本结构和组织结构调整；

　　（三）公司中层以上管理人员和所投资的全资、控股企业领导班子的任免、考核、监督和奖惩；产权代表、财务总监的委派；

　　（四）重要改革方案、内部机构设置、重要规章制度的制定和修改；

　　（五）涉及职工切身利益的重要问题。

　　第八条 按照“双向进入、交叉任职”办法，党委成员可以通过法定程序进入董事会、经理班子，在董事会、经理班子中，发挥参与重大问题决策的作用。

　　董事会、经理班子或工会主席中的党员也可按照有关规定进入党委会。担任公司两种职务的领导成员，必须做到行使两种职权，承担双重责任，不能顾此失彼。公司党委成员不管担任何种职务，都要坚持党的领导。

　　第九条 党委参与重大问题决策的程序：

　　（一）在董事会、总经理办公会对重大问题决策前，董事长、总经理应分别将决策议题通报党委负责人，也可共同商量确定决策议题。党委必须对决策议题，开展调查研究，广泛听取党员、员工意见，及时召开党委会议酝酿、讨论，向董事会或总经理办公会议提出意见或建议。

　　（二）在董事会、总经理办公会决策中，董事会、经理班子中的党委成员应当反映和体现党委的意见和建议，涉及方针政策的问题，必须贯彻执行党委的决定。

　　（三）重大问题决策后，党委必须支持董事会、经理班子依法行使职权，组织党员和基层党组织带头落实各项任务，保证决策的正确实施。

　　（四）党委如发现在重大问题决策制定和执行中，有违反党的方针政策和国家法律法规的问题时，必须及时向董事会或经理班子提出；如得不到纠正，应向上级有关监管部门报告。

　　第十条 党委必须认真贯彻干部队伍“革命化、年轻化、知识化、专业化”的方针和德才兼备原则，坚持任人唯贤，反对任人唯亲，积极探索适应现代企业制度要求的选人用人新机制，把组织考核推荐和引入市场机制、公开招聘结合起来，把党管干部原则和董事会依法选择经营管理者以及经营管理者依法行使用人权结合起来。

　　第五章 设立和换届选举

　　第十二条 公司设立党委会和纪委会。党委会一般设委员 7－9名，原则上由党委书记、副书记和党员董事（总经理、副总经理）、纪委书记、党员工会主席组成。

　　第十三条 党委书记、副书记应具备以下条件：

　　（六）具有大专以上文化程度，3年以上党龄。

　　第十四条 公司党委会每届任期3年，任期届满必须按期换届选举，由党员代表大会或党员大会选举产生。如需延期或提前换届选举，须经上级党组织批准，但延长期限一般不超过一年。

　　第六章 工作机构和工作人员
